This slim volume is a collection of articles on a broad variety of corporate issues as they appeared in Prentice Hall (later Aspen) Law & Business “Corporation” over the last nine years. They are reprinted with the permission of the publisher.
The format of the book classifies the articles by subject matter, with new commentary (where appropriate) at the beginning of each section of the book. Some duplicate material has been omitted, but other than that, and except for some few non-substantive changes, the
material appears as originally published.
About the Author:
Charles Hansen is a member of Bryan Cave LLP’s Transactions Client Service Group. Referred to as “one of America’s most able and eminent corporate lawyers” and “noted corporate law practitioner and commentator”, Charles Hansen has had an interesting and varied career. Trained as an engineer, he became a lawyer after a short period of engineering practice, rising to become General Counsel of two Fortune 500 companies. He occupied these positions for some eighteen years. In between his stints as General Counsel, he was responsible for all overseas operations of two Fortune 500 companies as the principal operating executive. He did this for ten years.
Following retirement, he joined the international law firm of Bryan Cave LLP as a partner, doing mostly corporate work. He has been Of Counsel to the firm since 1995. He is the author of three books, the latest being this collection of some of his many articles on corporation law.
In his second stint as a General Counsel, he became deeply involved in the law of corporate governance, among other things acting as a principal and constructive critic of the American Law Institute Corporate Governance Project as a member of the Institute. He was also an Adjunct Professor at Saint Louis University School of Law for some 15 years. Mr. Hansen is active in the American Bar Association and was formerly a member and is a former Co-Chairman of the Committee on Corporate Counsel of the Litigation Section. He is a graduate of the University of Michigan Law School, where he was a member of the Order of the Coif and editor of the Michigan Law Review, and Engineering, where he was a member of Tau Beta Pi.
