              The Seventh Edition continues the work of prior Editions.  Among other things, it includes the recently adopted changes to the General and Business Corporation Law effective August 2007, as well as detailed commentary on the significance of those changes.

About the Authors: Charles Hansen is a member of Bryan Cave LLP’s Transactions Client Service Group. Hansen began his career as an engineer before earning a law degree in 1950. He was general counsel of two Fortune 500 companies, the last being Emerson Electric Co. Between stints as general counsel, Hansen was responsible for all overseas operations for two Fortune 500 companies as principal operating executive. Following retirement from Emerson, Hansen joined Bryan Cave as a partner in 1989. He has been of counsel since 1995. Hansen is involved in numerous American Bar Association activities. He was formerly a member of the Committee on Corporate Laws of the Business Law Section and was co-chairman of the Committee on Corporate Counsel of the Litigation Section.

Don G. Lents is Chairman of Bryan Cave.  Mr. Lents had previously served as Chairman of the Firm’s Corporate Department and as Head of its Transactions Client Service Group.  He has been active in Missouri Bar activities, and has served as Vice Chairman and a member of the Council of the Corporation, Banking and Business Law Committee of the Missouri Bar. He has also been a member of the Bar subcommittee responsible for updating Missouri's corporation laws, and of the subcommittee responsible for reviewing and making recommendations to the Bar with respect to legislation that affects business and corporation matters. He is also a member of the American Law Institute. Mr. Lents is a graduate of Harvard Law School (magna cum laude 1974) and Harvard University (magna cum laude 1971). He joined Bryan Cave in 1974, becoming a partner in 1982. Among other assignments, he was responsible for opening and managing the firm's London office, where he practiced law for several years, and has also supervised and been an active participant in Bryan Cave LLP's Middle Eastern practice.
